1. General
These conditions apply to every contract for the distribution of leaflets, flyers, or promotional material by Wight Leaflets ("we", "our team"). By placing an order, the client confirms they are acting on their own behalf and not as an agent for any third party.
2. Pricing & Payment
Quotes are valid for 30 days from the date issued and are only binding once confirmed in writing. Orders may only be cancelled or amended with our prior written agreement.
Unless otherwise agreed in writing, full payment is required in advance of any work commencing. If credit terms are agreed and payment is not received by the due date, we reserve the right to suspend or cancel the contract immediately, charge interest at 10% above Barclays Bank base rate on all overdue amounts, withdraw credit facilities, and demand immediate settlement of all outstanding balances.
3. Leaflets & Promotional Material
The client is responsible for supplying sufficient material to complete the agreed distribution on time. We accept no liability for loss or damage to promotional materials, however caused.
The client warrants that all material supplied does not infringe any third-party intellectual property rights, copyright, or any applicable law, and is not abusive, indecent, or defamatory. The client will indemnify us against any claims, costs, or damages arising from a breach of this warranty.
We reserve the right to destroy any surplus leaflets at our discretion without notice or further liability. Materials handed over to us as part of a cancelled order will not be returned.
4. Client Insolvency
We may terminate the contract immediately upon written notice if the client becomes bankrupt, enters into any arrangement with creditors, goes into liquidation, has a receiver or administrator appointed, or if we have reasonable grounds to believe any such event is imminent. Any outstanding sums for work already completed will become immediately due and payable upon termination.
5. Additional Costs
The client will be liable for any additional costs we incur as a result of: client breach, delay, or variation of instructions; factors outside our reasonable control; changes to agreed delivery dates requested by the client; or failure to provide adequate instructions or information following acceptance of an order.
6. Warranty & Liability
We will use all reasonable efforts to deliver leaflets to the agreed addresses. However, we cannot guarantee 100% delivery to every property within a specified area, and this does not constitute a breach of contract.
Where a valid claim is accepted, our sole obligation is — at our discretion — to either re-perform the affected distribution (with the client supplying replacement materials at no cost to us) or issue a partial credit or refund. We have no further liability beyond this.
We are not liable for any loss of profit, revenue, business, contracts, goodwill, anticipated savings, or any indirect, special, or consequential loss — whether arising from negligence, breach of contract, or otherwise.
Our total liability to the client, in any circumstances, is limited to the amount paid by the client for the specific contract in question.
The client agrees not to directly approach or contract with any of our staff or distributors. We reserve the right to assign or subcontract any part of our obligations without client consent. The client may not assign or transfer this contract.
These terms constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements. English law governs these terms, and all disputes are subject to the exclusive jurisdiction of the English courts.
